Terms & Conditions of Sale

IT IS IMPORTANT THAT YOU READ AND UNDERSTAND THESE TERMS AND CONDITIONS BEFORE PROCEEDING WITH THIS TRANSACTION. IF THERE IS ANY TERM THAT YOU DO NOT UNDERSTAND OR DO NOT WISH TO AGREE TO, PLEASE DISCUSS IT WITH A REPRESENTATIVE OF NEWEL LLC (“NEWEL”). ONLY PROCEED WITH THIS TRANSACTION IF YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET OUT BELOW.

1. PURPOSE AND EFFECT

The following terms and conditions set out all the terms of agreement other than price between you as buyer and Newel as seller, in relation to the sale and purchase of the item or items identified in the invoice, which we refer to below as the “work”. We confirm that we either own the Work or are authorized to sell it on behalf of the owner. If you wish to rely on any variation of, or addition to, these terms and conditions, you must ensure that any such variation or addition has been agreed in writing by Newel.

2. STATEMENTS ABOUT THE WORK

2.1 All items are sold AS IS. Any and all statements by us as to the authenticity, attribution, description, date, age, provenance, title, or condition of the work constitute our judgment and opinion only and are not warranted by Newel. We do not accept any liability as a result of any changes in expert opinion by Newel or any third party which may take place subsequent to the sale. This paragraph, however, shall not operate so as to exclude any liability on Newel’s part for any fraudulent misrepresentation concerning the work.

2.2 Newel cannot warrant and is not authorized to certify UL Laboratory compliance for any item .

2.3 While we will on request explain the condition of the work, at the time of the sale and provide any information about condition for which you may reasonably ask, we will not be responsible for any subsequent deterioration of the work, however occasioned, after the sale.

2.4 You are responsible for satisfying yourself as to statements made by us as to the matters set out in paragraphs 2.1, 2.2 and 2.3 above.

2.5 For custom made pieces represented by Newel, all sales are final and are not subject to store credit, refund, or exchange. Any requested alteration to size, color, or design will incur additional charges at Newel’s discretion.

3. PAYMENT OF PURCHASE PRICE

3.1 You have 30 days from the date of the invoice to make full payment of the purchase price, together with the appropriate New York sales tax unless a properly executed resale/exempt use certificate or Bill of Lading for out of New York State delivery is in our possession.

3.2 You are responsible for paying any delivery, packing, and insurance charges as well as all taxes including but not limited to import tax, duty, merchandise, sales or use tax that have to be paid in the country or destination whether on shipment or on import or any other time.

3.3 If you fail to pay the purchase price in full within 45 days after the invoice date, we may assert any of our legal rights including, but not limited to, canceling the sale. If you have taken delivery of the work we may at our discretion serve you with notice that we require you to return the work to us, in which case you must do so at your cost as soon as possible. Money on deposit will be refunded upon our receipt of the work in the same condition as when it left our premises.

4. COLLECTION OF THE WORK AND PASSING OF TITLE AND RISK OF LOSS

4.1 You are responsible for arranging for pick up of the work from our premises in New York City after payment in full of the purchase price has been made. Any such pick up must be scheduled during regular business hours and at a mutually agreed time and date.

4.2 From the time and date of agreed collection of the work from Newel, you will be responsible for the work and the risk of loss or damage shall pass to you.

4.3 Title to the work shall pass from Newel to you when the purchase price is paid in full. If Newel has agreed to allow you to have possession of the work before full payment of the purchase price has been made, you agree to: (a) keep possession of the work and insure it for not less than the purchase price, and not sell it or hand it over to any other person or dispose of any interest in the work; (b) allow Newel or a third party acting on Newel’s behalf to have access to the work in order to inspect it; and (c) preserve the work in the same state as it was on delivery and in particular, not restore, repair, clean or reframe the work.

5. RETURNS

Except for custom made pieces the buyer may return the work for a full refund within 5 days of receipt of the work, provided, that the work is in the same condition as when it was sold. Any request to return a purchased work after such 5 day period will be for merchandise credit only, subject to notice of such return and approval of that credit by Newel. In all cases, the cost of return is to be borne by the buyer.

6. NEWEL’S WARRANTY

NEWEL WARRANTS THAT THE WORK DELIVERED TO BUYER PURSUANT TO THIS SALES ORDER CONFORMS TO THE CONTRACT SPECIFICATIONS ON THE FACE HEREOF AND IS FREE OF DEFECTS IN TITLE. THE FOREGOING EXPRESS WARRANTY IS IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

7. MISCELLANEOUS

7.1 These terms and conditions binds & inures to the benefit of the parties’ assigns, successors, trustees, heirs, executors & administrators.

7.2 Neither Newel’s nor buyer’s failure to insist upon strict performance of any provision of these terms and conditions shall be deemed a waiver of any rights hereunder.

7.3 This transaction is made in the State of New York and all matters pertaining to this transaction and these terms and conditions shall be governed by the laws of the State of New York, without regard for its principles of conflict of laws. Any proceedings or arbitrations arising hereunder shall be prosecuted in or before a court, panel or other adjudicatory body located in the County of New York.

7.4 The invalidity of any portion of these terms and conditions shall not effect the remainder of these terms and conditions.

The Newel Gallery is open Monday – Friday, 9am-5pm. Newel.com is open for business 24/7. Our loading dock hours for pickup & delivery is Mon-Fri, 8:30am-4pm.

Newel has been servicing the design trade for many decades, is proud to work with designers from all over the world and offers a 20% trade discount to qualifying clients. *Qualifying clients must provide a valid resale certificate, and once approved, will enjoy a 20% discount on all purchases made at Newel in person, by phone or online.

Absolutely! Our entire collection is stocked within our own warehouse, so any additional info or photos requested are just a few clicks away. If you’d like to request more information. Order from us is easy. You can shop in person at our gallery, over the phone with our sales team, or directly online through Newel.com. However you choose to shop, Newel is here to assist you and make your experience simple and hassle-free.

Absolutely. Any item ordered online, in-store or by phone can be picked up at our warehouse free of charge during normal pickup hours (8:30am-4pm, Mon-Fri) once full payment has been made.

As the most trusted name in antiques, Newel works with only the most reputable carriers in the logistics industry. While all shipping costs are the sole responsibility of the buyer, Newel is happy to assist in selecting the right carrier for the job.

We will contact you and provide you with the best shipping options available. All shipping charges will be invoiced separately.

While shipping damages with Newel-selected carriers are seldom, we fully insure every piece in the unlikely event that a damage occurs during transit. It is the buyer’s right and responsibility to inspect each item at the time of delivery and adhere to the below protocol to ensure proper resolution:

For UPS/Small Parcel Items
All items should be inspected at the time of delivery. It is your right and responsibility to do so.
1) Note visible damage on delivery paperwork
2) Preserve all original packaging materials
3) Contact your local UPS branch to request inspection by a claims agent

Once inspection has been made, Newel will work with the carrier to determine the best possible resolution

For Large Items / Home Deliveries
It is ESSENTIAL to inspect any/all items delivered. It is your right and responsibility to unpack and inspect your items in the presence of the driver, and to document any visible damage on the paperwork at the time of delivery. Approving delivery without inspecting and documenting potential freight damage will legally void Newel’s insurance coverage. If you have received damaged items, please contact us within 48 hours of delivery. Rest assured that Newel is committed to fanatical customer service and will provide you with the following options:

3) Exchange for something else in our store

At Newel, we do our best to ensure that our available quantity of each item is kept up-to-date on our website. Working with the trade, we also accommodate “holds”. If you have a question about the available quantity of an item, or the remaining duration of a current “hold” status, please call or email us and we will gladly verify availability or recommend similar items that are in stock.

Return Policy

Your satisfaction is our top priority and your shopping experience is backed by a 10-Day return policy. If you are unhappy with your purchase, for any reason at all, you may return it to us within 10 days of delivery for a full refund (minus return freight costs); simply contact us and we will make arrangements to pick up your items. Upon receipt and inspection of the items at our warehouse, we will issue your refund. Return requests made after 10 days of delivery will be honored in the form of store credit at Newel’s discretion. The cost of any/all returns is the responsibility of the buyer.

Note: Newel cannot offer returns on “Newel Custom” items, or any items that are considered custom, as they are made-to-order just for you.

Pickup & Delivery

For your convenience, all purchases made in person, via phone or online may be picked up at our location in New York after full payment has been made. Newel can also assist in the delivery of items anywhere in the world. Newel fully insures all pieces and works only with the industry’s top carriers to ensure that deliveries are safe and hassle-free. Should you choose to have your items delivered, please contact us to request a shipping estimate. While all shipping costs are your responsibility, we will gladly assist you in selecting the perfect carrier for the job.

While we offer the most expansive collection of antiques in America, it’s important to understand that many items are unique & rare, and therefore often subject to limited quantities. In fact, many pieces are one-of-a-kind. Newel communicates available quantities on every product page and does its best to keep this information accurate and up-to-date. If you see an item you love, we recommend placing your order online or via phone to secure it. We also understand your need to reserve items while reviewing with your clients, and will honor hold requests. Newel gladly accepts orders from anywhere in the world. If you live outside the United States of America, and are interested in purchasing from Newel, please email us and provide the following:

PROTECTION OF YOUR PERSONAL INFORMATION

RETENTION PERIODS FOR YOUR PERSONAL INFORMATION
Newel generally retains user information for varying periods depending upon the activity to which the personal information is linked. Personal information related to account creation, login credentials, and subscriptions to our email newsletters are retained indefinitely to facilitate your usage of our Site and Products and Services. You may delete your account at any time, at which point your related personal information will be completely removed from our Site and records. Personal information related to financial transactions, rentals, or sales with Newel LLC will be retained for a period of up to 7 years to support our legitimate interest in documenting transactions in case of fraud or disputes, and maintaining accurate tax records. Anonymized data collected through tracking (Google Analytics) will be retained for a period of one year.

3. RIGHT TO BE FORGOTTEN: You can ask us to delete your personal information.

4. RIGHT TO RESTRICT PROCESSING: If you believe your personal information is inaccurate or collected unlawfully, you may request limited use of your personal information.

5. RIGHT TO PORTABILITY: You have the right to receive your personal information in a structured, commonly-used and machine-readable format.

6. RIGHT TO OBJECT: If you decide that you no longer want your personal information to be included in analytics , receive direct marketing emails, or other targeted marketing at any time, you may opt out of use of your data for these purposes.

If you believe your privacy with regards to data collection has been infringed upon outside the terms of this Privacy Agreement, you have the right to lodge a complaint with the competent data protection authority in your region regarding the processing of your personal information.
